Terms of Service
The agreement between you and MB „O zeniau“ governing use of the Niserva platform.
These Terms of Service form a contract between you (the "Customer") and MB „O zeniau“ (the small Lithuanian partnership operating Niserva, hereafter "Niserva", "we"), available at niserva.com. By creating an account or using the platform you confirm that you accept these terms.
1. Parties
Niserva is a platform operated by MB „O zeniau“, registered in the Republic of Lithuania. By creating an account you accept these terms. If you accept on behalf of another legal entity, you confirm that you have the authority to do so.
2. Services
Niserva is a Software-as-a-Service (SaaS) platform for NIS2 compliance management:
- Tracking and assessment of compliance controls.
- AI compliance assistance — policy drafts, risk commentary, audit prompts.
- Evidence repository with versioning and an audit log.
- Audit and compliance report generation in exportable formats.
3. Account
You must provide accurate registration data and keep it current. Protect your password, do not share it, and enable multi-factor authentication (MFA) for sensitive accounts. You are responsible for all activity performed through your account.
4. Trial and payments
New customers receive a 14-day free trial. When you select a paid plan, billing is processed by Stripe — Niserva never sees card data. Plan pricing is shown on the pricing page; VAT is added as required by applicable law. Invoices are issued automatically and stored in your account.
5. Cancellation and refunds
You can cancel at any time via the Stripe customer portal or your Niserva account settings. Amounts already paid for the current billing period are non-refundable, but service remains active until the end of the paid period. After that the account is downgraded.
6. Customer responsibility
All content you upload — risks, evidence, policies, vendor data, incident records — belongs to you. You warrant that:
- You have a lawful basis to process this data (including under GDPR).
- The content does not infringe any third-party copyright, trademark or other right.
- Personal data is processed in accordance with our Data Processing Agreement (DPA).
7. Acceptable Use Policy (AUP)
You agree not to:
- Attempt to breach platform security, RLS boundaries or authentication mechanisms.
- Use AI features to generate unlawful, deceptive or harmful content.
- Resell, sublicense or transfer the service to third parties without written consent.
- Scrape, run bots, or load-test against the platform without permission.
- Place a load on the infrastructure that is disproportionate to ordinary use.
8. Intellectual property
The Niserva platform — code, design, documentation, brand — is owned by MB „O zeniau“. Customer-uploaded content (evidence, policies, risk descriptions) remains the Customer's property. AI-generated drafts (policies, commentary, etc.) are treated as derivative works — all economic rights in them transfer to the Customer at the moment of generation.
9. Confidentiality
Each party will protect the other's confidential information received under this agreement and use it only for the purposes of the agreement. This obligation survives termination.
10. Limitation of liability
Niserva is provided "as is" and "as available". We are not legal counsel — the platform is a tool for managing compliance, not a substitute for legal advice. Our maximum aggregate liability under this agreement will not exceed the amount the Customer paid us in the twelve (12) months preceding the event giving rise to the claim.
11. Warranties
We provide only the warranties expressly stated in the Service Level Agreement (SLA), if applicable to your plan. Implied warranties (fitness for a particular purpose, uninterrupted operation) are excluded to the extent permitted by law.
12. Suspension
We may suspend or limit the service for material breach of these terms with 7 days' prior notice by email. In the case of a cybersecurity incident, security threat or legal requirement, the service may be suspended immediately without prior notice.
13. Governing law and disputes
This agreement is governed by the laws of the Republic of Lithuania. The parties will seek to resolve disputes through negotiation. Failing that, disputes are decided by the Vilnius City District Court.
14. Changes
Material changes to these terms will be announced by email at least 30 days before they take effect. Continued use of the platform after the change date constitutes acceptance of the updated terms.
